De WHOA biedt ondernemingen die in zwaar weer verkeren een laatste redmiddel om een faillissement te voorkomen. Voorwaarde voor toegang tot de WHOA is dat de onderneming in een toestand verkeert waarin het redelijkerwijs aannemelijk is dat zij met het betalen van haar schulden niet zal kunnen voortgaan. In dat geval kan de onderneming de rechter verzoeken om een dwangakkoord goed te keuren (te \u2018homologeren\u2019). De rechter kan daartoe ook overgaan indien niet alle schuldeisers en aandeelhouders van de onderneming daarmee hebben ingestemd. Bovendien kunnen via het dwangakkoord naast bestaande schulden ook toekomstige verplichtingen die voortvloeien uit lopende wederkerige overeenkomsten worden geherstructureerd. E\u00e9n van de overeenkomsten die vaak problematisch blijkt te zijn voor een onderneming die in zwaar weer verkeert, is de huurovereenkomst.
